Haluan – Terms of Use (EULA)

Application Name: Haluan – Task Manager (“App”, “Application”, or “Service”)
Developer / Licensor: Haluan Team (“we”, “us”, or “our”)

1. Acceptance of Terms

By downloading, installing, accessing, or using Haluan – Task Manager on any device (including iOS, iPadOS, or Android), you (“User” or “you”) agree to be bound by this End User License Agreement (“Agreement” or “Terms of Use”). If you do not agree to these Terms, do not download, install, or use the Application.

If you are using the Application on an Apple-branded device, you also acknowledge and agree to the Apple Standard Licensed Application End User License Agreement (Apple Standard EULA). In the event of any conflict between this Agreement and the Apple Standard EULA, the terms of this Agreement shall control to the extent permitted by law.

2. License Grant & Permitted Use

We grant you a revocable, non-exclusive, non-transferable, non-sublicensable, and limited license to download, install, and use the Application strictly for your personal, non-commercial productivity and task management purposes, subject to:

  • The terms of this Agreement.
  • The Usage Rules set forth in the Apple Media Services Terms and Conditions or Google Play Terms of Service, depending on the platform where you acquired the Application.

3. Restrictions on Use

You agree that you will not, and will not permit any third party to:

  1. Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Application.
  2. Modify, adapt, improve, translate, or create derivative works from the Application.
  3. Violate any applicable laws, rules, or regulations in connection with your access or use of the App.
  4. Exploit the Application for any unauthorized commercial purposes or distribute, rent, lease, lend, sell, or sublicense the App.
  5. Circumvent, disable, or tamper with security or subscription-verification systems (including paywalls, in-app purchases, or API limits).
  6. Use automated systems, bots, or scrapers to access or extract data from the Application or its associated backend servers.

4. User Accounts & Security

  • Account Creation: You may register or log in using third-party authentication services (such as Sign in with Apple or Google Sign-In) or email authentication powered by Firebase.
  • Account Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Data Accuracy: You agree to provide accurate and complete information and promptly update your profile information as necessary.

5. In-App Purchases & Auto-Renewable Subscriptions

(Compliant with Apple App Store Review Guideline 3.1.2)

Haluan offers optional auto-renewable premium subscription plans (“Haluan Premium”) that provide access to enhanced features, including unlimited tasks and subtasks, Eisenhower matrix widgets, customized color themes, cloud synchronization, and AI productivity tools.

A. Available Subscription Plans

  1. Haluan Premium Monthly:
    • Duration: 1 Month (Auto-Renewing)
    • Standard Price: $0.49 per month (or equivalent in your local App Store / Google Play currency)
  2. Haluan Premium Annual:
    • Duration: 1 Year (Auto-Renewing)
    • Standard Price: $4.99 per year (or equivalent in your local App Store / Google Play currency)

(Prices are subject to applicable taxes and currency conversion rates set by Apple or Google.)

B. Payment & Billing

  • Payment Processing: Payment will be charged to your Apple ID account (for iOS users) or Google Play account (for Android users) upon confirmation of purchase.
  • Automatic Renewal: Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current billing cycle.
  • Renewal Charges: Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected subscription plan.
  • Price Changes: In the event of any upcoming subscription price changes, you will receive advance notice in accordance with Apple and Google platform policies.

C. Cancellation & Management

  • You can manage, modify, or cancel your subscription at any time via your device’s account settings:
    • iOS: Open Settings → Tap your Apple ID / Name → Tap Subscriptions → Select Haluan → Tap Cancel Subscription.
    • Android: Open Google Play Store → Tap Profile → Payments & subscriptions → Subscriptions → Select Haluan → Tap Cancel subscription.
  • Canceling a subscription stops future renewals; you will retain access to premium features until the end of your current paid billing period.

D. Free Trials & Refunds

  • Free Trials: Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication or tier, where applicable.
  • Refund Policy: All purchases and refund requests are processed directly by Apple (via reportaproblem.apple.com) or Google (via Google Play Help), in accordance with their respective refund policies. We do not process refunds directly.

6. User Content & Privacy

  • Ownership of Content: You retain full ownership of all tasks, roadmaps, notes, categories, and content (“User Content”) you create, input, or upload within the Application.
  • License for Service Provision: By storing content in the App, you grant us a limited, secure license to host, process, and synchronize your User Content solely to the extent required to operate and provide the features of the Application.
  • Privacy Policy: Our collection, use, and protection of your personal information are governed by our Privacy Policy. By using the Application, you acknowledge and agree to the data practices outlined therein.

7. Intellectual Property Rights

All title, ownership rights, and intellectual property rights in and to the Application (including but not limited to design, graphics, UI/UX, code, icons, logos, and features) belong exclusively to the Licensor/Developer. Nothing in this Agreement grants you any right or license to use any trademark, logo, or proprietary assets of Haluan without our prior written consent.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APPLICATION WILL OPERATE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT TASK REMINDERS AND NOTIFICATIONS WILL BE DELIVERED WITHOUT DELAY AT ALL TIMES (AS NOTIFICATION DELIVERY IS CONTINGENT ON OPERATING SYSTEM BACKGROUND PROCESSES AND DEVICE BATTERY OPTIMIZATIONS).

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE (OR OUR DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE APPLICATION.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE APPLICATION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICATION OR PREMIUM SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Third-Party Beneficiaries (Apple Terms)

If you downloaded the Application from the Apple App Store:

  1. You and we acknowledge that this Agreement is concluded between you and us only, and not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the Application and its content.
  2. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.
  3. Apple and Apple’s subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

11. Termination

This Agreement is effective until terminated by either you or us. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.

12. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will indicate the date of the latest update at the top of this page. Continued use of the Application after any such changes constitutes your acceptance of the updated Terms.
